At its first regularly scheduled meeting
on or after January 1 of each year, the Committee elects a Chair and
a Vice Chair from among its membership. The Chair presides at all
meetings of the Committee and performs such other duties as the Committee
may require. The Vice Chair performs the duties of the Chair in the
absence of the Chair. In the absence of both the Chair and the Vice
Chair of the Committee, the Vice Chair of the Board acts as Chair
of the Committee; and, in the absence of the Chair and the Vice Chair
of the Committee and the Vice Chair of the Board, the member of the
Board present with the longest service as a member of the Board acts
as Chair of the Committee.
